TERMS OF SERVICE

 

ARTICLE 1: THE PARTIES

WHEREAS Inkshed Writing Agency (I.W.A.) is a registered company in the Commonwealth of Dominica that specializes in content writing to include and not limited to Novels, Poems, Articles, Books Publishing, Content Marketing, and SEO writing, among others;

WHEREAS the Buyer has entered into this Agreement with Inkshed Writing Agency and has engaged the services of (I.W.A.), the Buyer is 18 years of age and older with authority to contract herein;

WHEREAS the parties have a contractual working relationship through various mediums, including and not limited to the Internet and face-to-face interactions.

WHEREAS Inkshed Writing Agency is represented by the seller /managing director and owner, Ms. Yana Joanalie Ducreay.

NOW THEREFORE, in consideration of the preceding and the contractual commitment set forth herein, the parties hereto agree as follows

ARTICLE 2: THE AGREEMENT
Inkshed Writing Agency (I.W.A.) grants the Buyer full rights and title to the following, in perpetuity:
The rights to publish, sell, and profit from the listed works in all languages and formats in existence today and at any point in the future.
This book publishing contract and/or the identified service contents represent the Agreement between the Buyer and Inkshed Writing Agency.

This Agreement may not be altered, amended, or otherwise modified except through written form requiring both parties’ signatures.

The Buyer acknowledges, understands, and grants the Seller an extension on any time-sensitive duties related to content writing and service content through unforeseen circumstances that may affect I.W.A’s ability to execute their contractual obligations.

All notices related to this contract shall be delivered via email and/or other specified media.

This Agreement is governed primarily under the principles of Contract Law.

AGREEMENT TERMS AND CONDITIONS AND PUBLICATIONS
Inkshed Writing Agency/ Seller shall have the exclusive right to edit or modify the delivered materials at their discretion before publication, and the Seller shall have the right to review any modifications and grant approval before publication.

While the Seller shall have the right to review, approve and make changes to content, the work’s format, cover design, and final artwork, Inkshed Writing Agency shall have the right to market and advertise the completed work as they deem necessary on its social platform.

Inkshed Writing Agency shall provide page proofs of the material before publication. These proofs shall include all content, including artwork.

It is acknowledged, and the Buyer understands that they shall review and return these drafts to Inkshed Writing Agency within 30 days. If the Buyer makes or requests changes to the content aside from typographical errors over 5% of the typesetting cost, then the Buyer agrees to pay such costs to Inkshed Writing Agency.

Inkshed Writing Agency/seller agrees that the works covered under its content publishing contract will be published within 24hrs of delivery of the initial manuscript.

 

2. INTELLECTUAL PROPERTY RIGHTS, COPYRIGHTS, PRIVACY, AND PUBLICATION RIGHTS
Inkshed Writing Agency shall include a copyright notice in the Buyer’s name on all published content works under the Commonwealth of Dominica copyright regulations. I.W.A. reserves the right to publish the said works and their content on its website for advertising, product development, and awareness to potential clients.
All source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics, and logos are owned and/or licensed to Seller.
Data collected and reports will be of sole ownership of Inkshed Writing Agency/ Seller; to be shared by Inkshed Writing Agency Dominica.

The Buyer must acknowledge the participation of all partner entities in any publication about the activities implemented in collaboration, including Inkshed Writing Agency.

The Buyer acknowledges, understands, and reads Inkshed Writing Agency Dominica’s Privacy Policy, and will avoid breach of contract of users/beneficiaries, and ensure complete confidentiality, cultural sensitivity, safety, and rights of people involved; no data that compromises these principles shall be shared publicly.

The Seller understands and acknowledges herein that those rights are reserved to the Buyer when the Buyer develops an idea for book works and contents.

The following are strictly prohibited under this Agreement;
-Retrieving data and content from the site without permission
Interfering with sensitive account information such as user passwords
Tarnish or harm us and or the site
Use any information from the site to harm others or yourself
Make improper use of our support services or submit false reports of abuse or misconduct
Engage in unauthorized framing of or linking to the site
Upload or transmit viruses or any other material that interferes, alters, or disrupts the use, features, functions, operation, or maintenance of the site
Delete the copyright or other proprietary rights notice from any content
Attempt to impersonate another user or person or use the username of another user.

3. PAYMENTS, COMPENSATION, AND CONSIDERATION


IN CONSIDERATION OF THIS AGREEMENT, THE BUYER ( J. Brown ) WILL PAY TO THE SELLER(I.W.A.) THE SUM OF XXXXXXXXXXX IN US DOLLARS FOR THE WORK AS PER SCHEDULE.

The payment methods are listed herein PayPal, Money Gram, Western Union, Debit Cards, Master Cards, and Credit Cards.
4. GOVERNING LAWS

 
Both Parties agree to comply with all applicable laws and regulations during the term of this Agreement, as well as the terms and conditions set forth herein.

The laws of the Commonwealth of Dominica and contract Law will govern the validity of this Agreement, the construction of its terms, and the interpretation of the rights and duties of the parties hereto.

Modification of the timeframe and related activities can be discussed during the Agreement and should be agreed upon by both parties from time to time.
5. DISPUTE RESOLUTION

Notwithstanding the laws of contracts, any disputes related to this Agreement between the I.W.A. shall be resolved through Alternative Dispute Resolution, that is to say, Mediation/Negotiations and or any other forms of Dispute Resolution as the first option to settlement, failure to resolve the said breach legal actions may be instituted herein.
6. CORRECTIONS

 
The Seller reserves the right to correct any errors, inaccuracies, or omissions and can update the information at any given date or time without prior notice.

 
7 . DISCLAIMER /LIMITATIONS OF LIABILITY


Inkshed Writing Agency will not be responsible for any consequential, exemplary, or incidental damages from the Buyer or any third party after the execution of this Agreement.
The Buyer owns the rights to the contents from the site after the initial purchase, notwithstanding the Seller’s authorization to publicize the said work on her website/ Portfolio.

 
8. MODIFICATIONS AND INTERRUPTIONS

 
Inkshed Writing Agency reserves the right to modify or remove contents of the site at any time or for any reason at their sole discretion without notice. The Buyer understands that Inkshed has no obligation to update any information on our site and do so at its own will. Inkshed Writing Agency is not liable to the Buyer or any third party for any site modification, price change, suspension, or discontinuance.

 
9. TERMINATION.

 
Should the Buyer deem that Inkshed Writing Agency has failed or is failing to uphold the terms of this contract, the Buyer shall notify Inkshed Writing Agency in writing and grant the Seller a minimum of 10 working days to correct such shortcomings. If the Seller fails to adequately address the issues presented by the Buyer within the stipulated time, the seller/I.W.A. will notify the Buyer of her difficulty herein.

Inkshed Writing Agency/shall have the right to terminate the said contract should it be deemed that the Buyer fails to uphold the terms, conditions, payments, and Privacy Policy of this Agreement, after granting the Buyer a period of at least ten days to correct such issues.
Should either party cancel this contract, all rights granted to the Buyer are reverted to Inkshed Writing Agency/seller.

10. REFUND POLICY

 
There will be no Refund Policy after executing the said contract UNLESS there is a breach of contract from the Seller herein.

The Buyer may contact I.W.S. after three days of the service content delivery through an official request for a refund. The said Buyer may be entitled to a 60% chargeback upon negotiation.

If the buyer requests within 07 days of service content delivery, they are entitled to a 50% chargeback.

Where the buyer requests within ten days after the service content delivery, the Buyer may be entitled to a 20% chargeback.
The Buyer understands and acknowledges that after the confirmation of the draft content document, the Buyer will not be eligible for any refund.
The Buyer acknowledges and understands that upon execution of this Agreement, any disputes/ and/or requests for a refund after ten days of submitting the draft by the Seller, the Buyer will not be qualified for any refund.
All contents are qualified for limited reviews and resubmissions reasonably required by the Buyer.
This Agreement is governed by the Commonwealth of Dominica and Contracts laws, and the Parties shall have sole jurisdiction for any dispute arising under this Agreement.
